Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and My V.I.P. Academy ("Company", "we", "us", "our"), governing your use of the website at www.myvipacademy.com and all related services (collectively, the "Platform").

By accessing or using the Platform — including creating an account, booking a session, enrolling in a course, or applying as an instructor — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

These Terms apply to all users of the Platform, including students, instructors, administrators, and visitors. Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference.

3.1 Eligibility

By creating an account, you represent and warrant that:

• You are at least 13 years of age. Users under 18 must have parental or guardian consent.
• You have the legal capacity to enter into binding contracts under Jamaican law.
• You are not prohibited from using the Platform under any applicable law or prior Platform ban.
• All information you provide during registration is accurate, current, and complete.

3.2 Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account at support@myvipacademy.com.
• You may only create one account per person. Duplicate accounts may be removed.
• Accounts are non-transferable and may not be sold, assigned, or otherwise transferred.

3.3 Accurate Information

You agree to provide accurate, truthful information when creating your account and to keep this information updated. Providing false information, including misrepresenting qualifications as an instructor, may result in immediate account termination.

4.1 Permitted Use

You may use the Platform solely for lawful educational purposes in accordance with these Terms. You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Platform or its systems
• Introduce viruses, malware, or other harmful code to the Platform
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform
• Use automated scripts, bots, or scrapers to access Platform data without permission
• Circumvent or attempt to circumvent any security or access controls
• Use the Platform to send spam, unsolicited communications, or conduct phishing
• Impersonate any person or entity, or misrepresent your affiliation

4.2 Platform Availability

We strive for 99% uptime but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We are not liable for any losses arising from Platform downtime.

5.1 Booking Sessions

• Sessions must be booked and paid for in advance through the Platform. Off-platform arrangements between students and instructors are prohibited.
• Booking constitutes a binding agreement to attend the session at the scheduled time.
• Each student is entitled to one free 15-minute intro call per instructor.
• You must be on time for your sessions. The session timer starts at the scheduled start time.

5.2 Student Conduct

• You must treat instructors with respect and professionalism at all times.
• You must not record sessions through any means other than the Platform's built-in recording feature.
• You must not share session recordings, session notes, or course content with anyone outside the Platform without the instructor's written consent.
• Academic dishonesty, including requesting help to cheat on examinations or assessments, is strictly prohibited and may result in account termination.

5.3 Course Enrolment

• Enrolment in a paid course grants you a personal, non-exclusive, non-transferable licence to access the course content for educational purposes.
• Course access is tied to your account and cannot be shared, transferred, or resold.
• We reserve the right to remove course access if the licence terms are violated.

6.1 Listing on the Platform

Instructors are independent professionals who offer their tutoring services to students through the Platform. Before an instructor profile is listed, we carry out a marketplace eligibility review, which may include an interview, an equipment and connection test and a sample lesson. The review checks identity, qualifications, suitability to teach children and that sessions will work in our classroom. Approval to list is at the sole discretion of My V.I.P. Academy and is not an offer of employment. We may decline an application without giving reasons, and a listing may be suspended or deactivated as set out in Section 11. The verification documents you upload (your identity document, qualification certificates, a police record where required, and your demo video) are stored privately and kept only as described in our Privacy Policy: while your application is under review and your listing is active, and for 30 days after your account is closed or permanently suspended, your listing is removed, or your application is declined, after which they are permanently deleted.

6.2 Independent Contractor Relationship

• Your status. You provide your services to students through the Platform as an independent contractor in business on your own account. Nothing in these Terms, the application process or your use of the Platform makes you an employee of My V.I.P. Academy, or creates a contract of employment, a partnership, a joint venture or an agency between us. Neither of us can bind the other.
• Your availability. You decide when you are available by setting your own availability. Students can only book times you have made available, and you can change or remove your availability at any time. There are no set hours, rosters or minimum hours, and we do not guarantee any number of bookings or any level of earnings.
• Your teaching. You decide how to prepare for and deliver your sessions, including your teaching methods and materials. The only conditions are the conduct, safeguarding and quality standards in these Terms, which apply to every instructor listed on the Platform. We do not supervise or direct the way you teach.
• Your rates. You set your own session rates (Section 7.2). You are paid per completed session or course sale, less the platform service fee described in Section 6.5.
• Other work. Your relationship with us is not exclusive. You are free to teach or work elsewhere, including on other platforms and with your own private students. The one limit is that students you meet through the Platform must book and pay for sessions through the Platform (Section 6.4).
• Your own equipment and costs. You provide and pay for your own device, internet connection, workspace, software and teaching materials, and bear your own business expenses. We do not reimburse expenses.
• No employee entitlements. Because you are not our employee, you do not receive a salary or wages, paid vacation or sick leave, maternity leave, notice or redundancy payments, a pension, insurance or any other employee benefit from My V.I.P. Academy. Entitlements that apply to employees, such as those under the Employment (Termination and Redundancy Payments) Act, the Minimum Wage Act and the Holidays with Pay Order, do not arise from this relationship.
• How you describe the relationship. You may describe yourself as an instructor on the Platform, but not as an employee, staff member or agent of My V.I.P. Academy. We will each deal with the other in a way that is consistent with this section.

6.3 Taxes and Statutory Contributions

• My V.I.P. Academy does not deduct income tax (PAYE), National Insurance (NIS), National Housing Trust (NHT) or Education Tax from your earnings, and does not pay employer contributions for you, because you are not our employee.
• You are solely responsible for registering with the tax authorities and for declaring and paying all taxes and contributions due on your earnings. In Jamaica this generally means holding a Taxpayer Registration Number (TRN), registering with Tax Administration Jamaica as self-employed, filing your estimated and annual income tax returns, making the quarterly payments, and paying self-employed NIS, NHT and Education Tax contributions. It also means registering for General Consumption Tax (GCT) if your taxable turnover passes the registration threshold. Instructors who live outside Jamaica must meet the equivalent requirements of their own country.
• We may ask for your TRN or equivalent tax number and keep records of the payments made to you. If the law ever requires us to withhold or report any amount from payments to you, we will do so and tell you.
• You agree to reimburse My V.I.P. Academy for any tax, contribution, interest or penalty assessed against us that is your responsibility under this section.
• This section explains how payments on the Platform work. It is not tax advice; please speak to a tax professional about your own obligations.

6.4 Instructor Obligations

• You must attend every session a student has booked into your availability, at the booked time.
• You must give at least 24 hours notice to cancel a confirmed session.
• You must maintain an accurate profile, including subjects, qualifications, and availability.
• You must not conduct transactions with students outside the Platform for sessions booked through the Platform.
• You are solely responsible for the accuracy and quality of all content you provide.
• You must not misrepresent your qualifications or experience.

6.5 Revenue & Earnings

• For each completed session or course sale you receive your agreed share of the gross fee, and My V.I.P. Academy keeps a platform service fee (commission). The current instructor share and platform commission rate are displayed in your Instructor Dashboard under Earnings → Payout Details, and are set at the discretion of My V.I.P. Academy.
• The platform service fee covers payment processing, platform operations, and support services. This rate may change with 30 days' written notice to instructors.
• Payouts are processed bi-weekly for completed and non-disputed sessions, subject to the minimum payout threshold (currently J$3,000 / ~$20 USD). Earnings that do not reach the threshold roll over to the next payout cycle.
• The Company reserves the right to withhold earnings pending investigation of disputes, conduct violations, or suspected fraud.
• Taxes and statutory contributions on your earnings are your responsibility (Section 6.3).

6.6 Transaction & Transfer Fees

The following fees are applied to payouts and are deducted directly from your earnings at the time of transfer. These fees are charged by third-party payment processors and banking institutions and are not set by My V.I.P. Academy.

• Dime Processing Fee: 3.7% of the session value + $0.29 per transaction, plus General Consumption Tax (GCT) at 15% of that fee (effective rate ≈ 4.26%). This fee is shared proportionally between you and the platform according to your earnings split — you bear your percentage share and the platform bears its share.
• ACH Bank Transfer (Standard): A flat fee of J$19.55 (including GCT) is deducted per outgoing transfer for standard next-business-day ACH payouts. This is the default and recommended payout method.
• RTGS Bank Transfer (Express): For same-day transfers (within 2 hours), the fee is approximately J$230–J$470+ depending on the bank account tier. The full RTGS fee is deducted from your payout if this method is selected.
• All fee amounts are subject to change by the relevant banks and payment processors. My V.I.P. Academy will update these disclosures accordingly but cannot guarantee advance notice of third-party fee changes.

6.7 Missed Sessions

• Student no-show: A student who does not join a confirmed session, without cancelling beforehand, forfeits the session and is not entitled to any refund. To avoid this, cancel at least 12 hours before the session start time.
• An instructor who misses a confirmed session without prior cancellation will have a missed session recorded against their profile.
• Three or more missed sessions within a rolling 90-day period may lead to a review of your listing.
• The student is entitled to a full refund for any instructor-missed session, and may choose a Platform Wallet Credit (instant, +5% bonus, no fee) or a cash refund.
• Mutual no-show: If neither the student nor the instructor joins, the session is marked missed and no refund is issued.
• Repeated missed sessions may result in your listing being suspended or deactivated.

6.8 Costs of Instructor Cancellations and Missed Sessions

• If an instructor fails to attend a confirmed session without 24 hours' advance notice, or cancels a confirmed session for any reason, the following costs apply:
• A $0.00 USD refund processing fee (if any) will be deducted from the instructor's pending earnings if the affected student elects a cash refund. This fee is charged by the payment processor to process the refund transaction back to the student's original payment method.
• If the student instead chooses a platform wallet credit, no fee is charged to the instructor — this is the most cost-effective outcome for both parties.
• The original payment processing fee (approximately 4.26% of the session value, collected at the time of payment) is retained by the platform as a non-refundable gateway cost, regardless of the refund method.
• All fee deductions are applied against the instructor's next scheduled bi-weekly payout batch. Outstanding deductions are visible in the instructor's Earnings dashboard under "Processing Fee."
• If an instructor has insufficient earnings to cover a deduction at payout time, the outstanding amount will be carried forward to future payout cycles. My V.I.P. Academy reserves the right to suspend payout disbursements until outstanding deduction balances are settled.

6.9 Student Cancellation & Cash Refund Fees

• When a student cancels or misses a session and requests a cash refund (back to their original payment method), the student is responsible for the $0.00 USD refund processing fee (if any). This fee is deducted directly from the refundable amount.
• To avoid this fee entirely, students are encouraged to choose Platform Wallet Credit, which is processed instantly at no cost and includes a 5% bonus.
• Students who do not make a refund selection within 24 hours of the refund offer will have their refund automatically credited to their platform wallet (no fee charged).
• Cancellations within 12 hours of the session start time are subject to a 50% cancellation penalty in addition to any refund processing fees.

6.10 Content Licence

By uploading course content to the Platform, you grant My V.I.P. Academy a non-exclusive, worldwide, royalty-free licence to host, display, and deliver your content through the Platform for the purpose of providing the service. You retain all ownership rights in your content.

7.1 Payment Processing

All payments are processed through Dime, a licensed Caribbean payment gateway. By making a payment, you agree to Dime's terms and conditions. My V.I.P. Academy does not store your full payment card details.

Dime Processing Fee: Dime charges a transaction fee of 3.7% of the gross session value plus $0.29 per transaction, plus General Consumption Tax (GCT) at 15% of that fee, resulting in an effective rate of approximately 4.26%. This fee is shared proportionally between the student-facing charge and the instructor's earnings in accordance with the platform's commission split. The platform absorbs its proportional share of the processing fee.

7.2 Pricing

• All prices are displayed in US Dollars (USD).
• Instructor rates are set by the instructor and may change at any time.
• Rates displayed at the time of booking are the rates charged.
• We reserve the right to adjust platform fees with 30 days written notice to instructors.

7.2b Platform Wallet Credits

When a refund is owed, students may elect to receive a Platform Wallet Credit instead of a cash refund. Wallet credits are:

• Credited instantly to the student's account at no cost ($0 fee)
• Boosted with a 5% bonus on top of the refund amount as an incentive
• Applicable to any future session booking on the Platform
• Non-transferable and non-redeemable for cash once accepted

7.2c Cash Refund Processing Fee

If a student requests a cash refund back to their original payment method (credit/debit card), the payment processor's $0.00 USD refund processing fee (if any) applies regardless of the reason for cancellation. This means:

• All student-initiated cash refunds (whether cancelled with 12+ hours or less than 12 hours notice) are subject to the $0.00 USD fee, which is deducted directly from the refundable amount.
• A student who cancels within 12 hours of their session will receive a 50% refund, minus any applicable refund processing fee.
• A student who cancels with 12+ hours notice will receive a 100% refund, minus any applicable refund processing fee.
• To avoid this fee entirely, students are encouraged to choose the Platform Wallet Credit option, which provides 100% of the refund plus a 5% bonus at no cost.
• When the refund is caused by the instructor (missed session, instructor cancellation), any applicable refund processing fee is charged to the instructor's pending earnings — not the student.
• This fee is non-negotiable and applied regardless of refund amount.

7.3 Refund Policy

Note: Refunds are reviewed and processed by My V.I.P. Academy administrators and may take 3–7 business days to appear in your account.

7.4 Disputes

If you believe you have been incorrectly charged or a refund is owed, contact us within 14 days of the session at support@myvipacademy.com. We will investigate and respond within 5 business days.

7.5 Shop Purchases

• What you buy. A Shop purchase gives your account a personal licence to use the item. It does not transfer ownership of the content, which remains ours or our licensors'.
• Interactive workbooks are used on the Platform while you are signed in; they are not downloadable files. You get lifetime access to the edition you bought, for as long as the Platform offers the Shop. When we publish a new edition you keep the edition you bought; small corrections may be made to it.
• Family licence. One workbook purchase may be used by up to 4 children in the buyer's household, through the buyer's own account. It may not be used for a class, school, tutoring business or anyone outside the household; ask us about school licences.
• Printables (PDFs) are for personal and household use. You may print copies for the children in your household. You may not share, resell, upload or distribute the files or copies of them.
• Prices are in US Dollars. The card processing fee is shown as its own line before you pay. Sale prices and discount codes cannot be combined: you get whichever is lower.
• Refunds. Because digital items are delivered immediately, a purchase is not refundable once a workbook has been opened or a file downloaded. If you were charged twice for the same item, or an item doesn't work and we can't fix it, you will get a full refund: contact us within 14 days of purchase. A refund removes the item from your library.
• Free items are offered as they are and may be withdrawn at any time.

8.1 Session Technology

Live sessions are conducted using Daily.co's video infrastructure. My V.I.P. Academy is not responsible for technical issues originating from Daily.co's services. In the event of a technical failure preventing a session, contact support and we will investigate whether a refund or rescheduling is appropriate.

8.2 Automatic Recording

• All live sessions, including free intro calls, are recorded automatically once both the student and the instructor have joined, for educational review and platform security purposes.
• Both the student and instructor are notified that sessions are recorded at the time of booking.
• By booking or accepting a session, you consent to being recorded.
• Recordings are accessible only to the student and instructor who participated in that session, and authorised staff, for quality and safety reviews.
• Recordings are stored for 3 months from the session date for educational review and platform security purposes, then automatically and permanently deleted.
• You must not attempt to share, distribute, or commercially exploit session recordings.

8.3 Child Assessment Data

Child assessment results submitted through the Platform are stored securely in our database and are not shared with any third parties. Each assessment is automatically deleted 14 days after the date it was submitted. Submitting a new assessment for the same child creates a separate report; earlier reports remain available until their own 14 days have passed.

8.4 Session Notes & Chat Logs

Notes created during sessions and chat logs are saved to each user's account. These are private and accessible only to the session participants. You must not use session notes or chat logs for any purpose other than personal educational review.

8.5 Rescheduling

• Either party may propose to reschedule a confirmed session up to 2 hours before the session start time.
• Reschedule proposals must be accepted by the other party within 24 hours or they expire.
• The accepting party must check the proposed time against the instructor's available schedule.
• My V.I.P. Academy is not responsible for any loss arising from a failed reschedule.

9.1 Platform Content

All content on the Platform — including the design, layout, software, text, graphics, and branding — is the intellectual property of My V.I.P. Academy or its licensors and is protected by applicable copyright and trademark law. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9.2 User-Generated Content

You retain ownership of content you create and upload (including course materials, session notes, and profile information). By uploading content, you grant My V.I.P. Academy a limited licence to host and deliver your content for the purpose of providing the service. You warrant that your content does not infringe the intellectual property rights of any third party.

9.3 Prohibited Content

You must not upload, share, or distribute content that:

• Is defamatory, obscene, offensive, or discriminatory
• Infringes any copyright, trademark, or other intellectual property right
• Contains viruses or malicious code
• Promotes violence, illegal activity, or hate speech
• Constitutes unsolicited commercial communications (spam)
• Violates any applicable law or regulation

We reserve the right to remove any content that violates these Terms without notice.

All users of the Platform are expected to maintain a respectful and professional environment. The following conduct is strictly prohibited and may result in immediate suspension or permanent ban:

Users may report conduct violations through the "File a Report" feature in their dashboard. All reports are reviewed by our team within 3 business days.

11.1 Termination by You

You may close your account at any time by contacting us at support@myvipacademy.com. Upon closure, your data will be handled in accordance with our Privacy Policy. Any outstanding refunds owed to you will be processed before account deletion. Instructor earnings already earned will be paid out.

11.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account, with or without notice, if:

• You breach any provision of these Terms
• You engage in conduct that violates our Code of Conduct
• You provide false information during registration or in your profile
• Your account is subject to fraud investigation
• Required by law or court order
• Your continued use poses a risk to the safety of other users

11.3 Appeals

If you believe your account was suspended or terminated in error, you may appeal by emailing support@myvipacademy.com within 14 days of the action. We will review appeals within 7 business days. Our decision on appeals is final.

11.4 Effect of Termination

• All licences granted to you under these Terms immediately terminate.
• You must immediately cease all use of the Platform.
• Sections of these Terms that by their nature should survive termination will continue in effect.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits our liability for (a) fraud or fraudulent misrepresentation, (b) death or personal injury caused by our negligence, or (c) any other liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless My V.I.P. Academy, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of the Platform in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third party's intellectual property rights
• Any content you submit, post, or transmit through the Platform
• Your breach of any representation or warranty made in these Terms
• Any dispute between you and another user of the Platform

We reserve the right to assume exclusive control of any matter subject to indemnification, at your expense. You agree to cooperate fully with us in asserting any available defences.

15.1 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@myvipacademy.com. We will use reasonable efforts to resolve the dispute within 30 days.

15.2 Mediation

If a dispute cannot be resolved informally, both parties agree to attempt resolution through mediation in Kingston, Jamaica, before proceeding to litigation.

15.3 Limitation Period

Any claim or cause of action arising from your use of the Platform must be filed within one (1) year after the date the cause of action arose, regardless of any contrary statute of limitations.

15.4 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of a class action, collective proceeding, or representative action, to the extent permitted by applicable law.

These Terms and Conditions are governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Kingston, Jamaica, and you hereby consent to personal jurisdiction in such courts.

Applicable Jamaican legislation includes but is not limited to:

• The Data Protection Act 2020 (Jamaica)
• The Electronic Transactions Act (Jamaica)
• The Consumer Protection Act (Jamaica)
• The Copyright Act (Jamaica)

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last Updated" date at the top of this page
• Sending an email notification to registered users
• Displaying an in-platform notice for a period of no less than 7 days

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.

For material changes that reduce your rights or increase your obligations, we will provide at least 30 days notice before the changes take effect.
