Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and My V.I.P. Academy ("Company", "we", "us", "our"), governing your use of the website at www.myvipacademy.com and all related services (collectively, the "Platform").

By accessing or using the Platform — including creating an account, booking a session, enrolling in a course, or applying as an instructor — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

These Terms apply to all users of the Platform, including students, instructors, administrators, and visitors. Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference.

3.1 Eligibility

By creating an account, you represent and warrant that:

• You are at least 13 years of age. Users under 18 must have parental or guardian consent.
• You have the legal capacity to enter into binding contracts under Jamaican law.
• You are not prohibited from using the Platform under any applicable law or prior Platform ban.
• All information you provide during registration is accurate, current, and complete.

3.2 Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account at support@myvipacademy.com.
• You may only create one account per person. Duplicate accounts may be removed.
• Accounts are non-transferable and may not be sold, assigned, or otherwise transferred.

3.3 Accurate Information

You agree to provide accurate, truthful information when creating your account and to keep this information updated. Providing false information, including misrepresenting qualifications as an instructor, may result in immediate account termination.

4.1 Permitted Use

You may use the Platform solely for lawful educational purposes in accordance with these Terms. You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Platform or its systems
• Introduce viruses, malware, or other harmful code to the Platform
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform
• Use automated scripts, bots, or scrapers to access Platform data without permission
• Circumvent or attempt to circumvent any security or access controls
• Use the Platform to send spam, unsolicited communications, or conduct phishing
• Impersonate any person or entity, or misrepresent your affiliation

4.2 Platform Availability

We strive for 99% uptime but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We are not liable for any losses arising from Platform downtime.

5.1 Booking Sessions

• Sessions must be booked and paid for in advance through the Platform. Off-platform arrangements between students and instructors are prohibited.
• Booking constitutes a binding agreement to attend the session at the scheduled time.
• Each student is entitled to one free 15-minute intro call per instructor.
• You must be on time for your sessions. The session timer starts at the scheduled start time.

5.2 Student Conduct

• You must treat instructors with respect and professionalism at all times.
• You must not record sessions through any means other than the Platform's built-in recording feature.
• You must not share session recordings, session notes, or course content with anyone outside the Platform without the instructor's written consent.
• Academic dishonesty, including requesting help to cheat on examinations or assessments, is strictly prohibited and may result in account termination.

5.3 Course Enrolment

• Enrolment in a paid course grants you a personal, non-exclusive, non-transferable licence to access the course content for educational purposes.
• Course access is tied to your account and cannot be shared, transferred, or resold.
• We reserve the right to remove course access if the licence terms are violated.

6.1 Application & Approval

Instructor status is granted at the sole discretion of My V.I.P. Academy. We reserve the right to approve or reject any instructor application without obligation to provide reasons. Approval may be revoked at any time.

6.2 Instructor Obligations

• You must attend all confirmed sessions at the scheduled time.
• You must give at least 24 hours notice to cancel a confirmed session.
• You must maintain an accurate profile, including subjects, qualifications, and availability.
• You must not conduct transactions with students outside the Platform for sessions booked through the Platform.
• You are solely responsible for the accuracy and quality of all content you provide.
• You must not misrepresent your qualifications or experience.

6.3 Revenue & Earnings

• Instructors earn 80% of the gross fee for each completed session or course sale.
• My V.I.P. Academy retains a platform fee of 20% to cover payment processing, platform operations, and support services.
• Payouts are processed at the end of each week for completed and non-disputed sessions.
• The Company reserves the right to withhold earnings pending investigation of disputes, conduct violations, or suspected fraud.
• Instructors are solely responsible for any taxes applicable to their earnings.

6.4 Missed Sessions

• An instructor who misses a confirmed session without prior cancellation will have a missed session recorded against their profile.
• Three or more missed sessions within a rolling 90-day period may trigger a penalty flag and account review.
• The student is entitled to a full refund for any instructor-missed session.
• Repeated missed sessions may result in suspension or permanent removal from the Platform.

6.5 Content Licence

By uploading course content to the Platform, you grant My V.I.P. Academy a non-exclusive, worldwide, royalty-free licence to host, display, and deliver your content through the Platform for the purpose of providing the service. You retain all ownership rights in your content.

7.1 Payment Processing

All payments are processed through WiPay, a licensed Caribbean payment gateway. By making a payment, you agree to WiPay's terms and conditions. My V.I.P. Academy does not store your full payment card details.

7.2 Pricing

• All prices are displayed in US Dollars (USD).
• Instructor rates are set by the instructor and may change at any time.
• Rates displayed at the time of booking are the rates charged.
• We reserve the right to adjust platform fees with 30 days written notice to instructors.

7.3 Refund Policy

Note: WiPay does not provide an automated refund API. All refunds are processed manually by My V.I.P. Academy administrators and may take 3–7 business days to appear in your account.

7.4 Disputes

If you believe you have been incorrectly charged or a refund is owed, contact us within 14 days of the session at support@myvipacademy.com. We will investigate and respond within 5 business days.

8.1 Session Technology

Live sessions are conducted using Daily.co's video infrastructure. My V.I.P. Academy is not responsible for technical issues originating from Daily.co's services. In the event of a technical failure preventing a session, contact support and we will investigate whether a refund or rescheduling is appropriate.

8.2 Automatic Recording

• All paid live sessions are automatically recorded for educational review purposes.
• Both the student and instructor are notified that sessions are recorded at the time of booking.
• By booking or accepting a session, you consent to being recorded.
• Recordings are accessible only to the student and instructor who participated in that session.
• Recordings are stored for 12 months and then deleted.
• You must not attempt to share, distribute, or commercially exploit session recordings.

8.3 Session Notes & Chat Logs

Notes created during sessions and chat logs are saved to each user's account. These are private and accessible only to the session participants. You must not use session notes or chat logs for any purpose other than personal educational review.

8.4 Rescheduling

• Either party may propose to reschedule a confirmed session up to 2 hours before the session start time.
• Reschedule proposals must be accepted by the other party within 24 hours or they expire.
• The accepting party must check the proposed time against the instructor's available schedule.
• My V.I.P. Academy is not responsible for any loss arising from a failed reschedule.

9.1 Platform Content

All content on the Platform — including the design, layout, software, text, graphics, and branding — is the intellectual property of My V.I.P. Academy or its licensors and is protected by applicable copyright and trademark law. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9.2 User-Generated Content

You retain ownership of content you create and upload (including course materials, session notes, and profile information). By uploading content, you grant My V.I.P. Academy a limited licence to host and deliver your content for the purpose of providing the service. You warrant that your content does not infringe the intellectual property rights of any third party.

9.3 Prohibited Content

You must not upload, share, or distribute content that:

• Is defamatory, obscene, offensive, or discriminatory
• Infringes any copyright, trademark, or other intellectual property right
• Contains viruses or malicious code
• Promotes violence, illegal activity, or hate speech
• Constitutes unsolicited commercial communications (spam)
• Violates any applicable law or regulation

We reserve the right to remove any content that violates these Terms without notice.

All users of the Platform are expected to maintain a respectful and professional environment. The following conduct is strictly prohibited and may result in immediate suspension or permanent ban:

Users may report conduct violations through the "File a Report" feature in their dashboard. All reports are reviewed by our team within 3 business days.

11.1 Termination by You

You may close your account at any time by contacting us at support@myvipacademy.com. Upon closure, your data will be handled in accordance with our Privacy Policy. Any outstanding refunds owed to you will be processed before account deletion. Instructor earnings already earned will be paid out.

11.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account, with or without notice, if:

• You breach any provision of these Terms
• You engage in conduct that violates our Code of Conduct
• You provide false information during registration or in your profile
• Your account is subject to fraud investigation
• Required by law or court order
• Your continued use poses a risk to the safety of other users

11.3 Appeals

If you believe your account was suspended or terminated in error, you may appeal by emailing support@myvipacademy.com within 14 days of the action. We will review appeals within 7 business days. Our decision on appeals is final.

11.4 Effect of Termination

• All licences granted to you under these Terms immediately terminate.
• You must immediately cease all use of the Platform.
• Sections of these Terms that by their nature should survive termination will continue in effect.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits our liability for (a) fraud or fraudulent misrepresentation, (b) death or personal injury caused by our negligence, or (c) any other liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless My V.I.P. Academy, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of the Platform in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third party's intellectual property rights
• Any content you submit, post, or transmit through the Platform
• Your breach of any representation or warranty made in these Terms
• Any dispute between you and another user of the Platform

We reserve the right to assume exclusive control of any matter subject to indemnification, at your expense. You agree to cooperate fully with us in asserting any available defences.

15.1 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@myvipacademy.com. We will use reasonable efforts to resolve the dispute within 30 days.

15.2 Mediation

If a dispute cannot be resolved informally, both parties agree to attempt resolution through mediation in Kingston, Jamaica, before proceeding to litigation.

15.3 Limitation Period

Any claim or cause of action arising from your use of the Platform must be filed within one (1) year after the date the cause of action arose, regardless of any contrary statute of limitations.

15.4 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of a class action, collective proceeding, or representative action, to the extent permitted by applicable law.

These Terms and Conditions are governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Kingston, Jamaica, and you hereby consent to personal jurisdiction in such courts.

Applicable Jamaican legislation includes but is not limited to:

• The Data Protection Act 2020 (Jamaica)
• The Electronic Transactions Act (Jamaica)
• The Consumer Protection Act (Jamaica)
• The Copyright Act (Jamaica)

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last Updated" date at the top of this page
• Sending an email notification to registered users
• Displaying an in-platform notice for a period of no less than 7 days

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.

For material changes that reduce your rights or increase your obligations, we will provide at least 30 days notice before the changes take effect.
